01About this disclaimer

This Disclaimer & Risk Disclosure applies to all content on caelopartners.com (the “Website”), operated by Caelo Partners (“Caelo Partners”, “we”, “us” or “our”), and forms part of our Terms of Use. Please read it carefully before relying on anything on the Website.

02Nature of our services

Caelo Partners provides advisory and introduction services in connection with private transactions. We do not:

  • deal in securities, digital assets or other financial products;
  • provide investment, legal, tax or accounting advice;
  • hold, manage or safeguard client money, securities or digital assets; or
  • act as a bank, broker, exchange, fund manager or custodian.

Our advice concerns the structure, terms and process of transactions. It is not advice on the merits of any investment, and it is not a recommendation to buy, sell or hold any security, digital asset or other financial product. Where a transaction requires a licence, registration or authorisation, it is completed by appropriately licensed counterparties. Those counterparties are independent of Caelo Partners and are solely responsible for their regulated activities.

03No offer or solicitation

The content of the Website is provided for general information only. Nothing on the Website is, or should be read as, an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, digital asset, financial product, service or investment strategy. Any transaction is subject to definitive documentation between the parties concerned and to all applicable legal and regulatory requirements.

04Eligible persons only

Our services are available only to companies, founders and accredited, institutional or professional investors, as those terms are defined under the laws that apply to them. The Website is not directed at retail investors, or at any person in any jurisdiction where its publication or availability would be unlawful or would require us to obtain a licence or registration. You are responsible for ensuring that your access to the Website and any dealings with us comply with the laws that apply to you.

05No reliance

Information on the Website is general in nature, does not take account of your objectives, financial situation or needs, and may be incomplete or out of date. You should not rely on it as the basis for any decision, and you should obtain independent professional advice before entering into any transaction.

06Selected transactions

Transactions described on the Website are presented for illustration of our experience only. Client and counterparty names are withheld, and descriptions are summarised and may be rounded or approximate. The description of our role is limited to the services we provided; it does not mean that we dealt in, executed or held any asset. Past transactions are not an indication of future transactions or outcomes, and their inclusion is not a recommendation of, or an endorsement by, any party or asset involved.

07Fees and conflicts of interest

We may receive fees from one or more parties to a transaction, including fees calculated by reference to the value of a transaction, and we may introduce or advise more than one party in connection with the same transaction. We may also have relationships with, or interests in, companies, funds, protocols or digital assets referred to on the Website. Where these arise in an engagement, we disclose them to the parties concerned and manage them in accordance with our engagement terms and applicable law.

08General investment risk

All investments carry risk, including the possible loss of all capital invested. The value of investments and any income from them can fall as well as rise. Past performance is not a reliable indicator of future results.

09Private markets risk

Investments in private companies, private funds, secondary interests, private credit and direct or co-investments are typically illiquid and may be difficult or impossible to sell. They may be subject to transfer restrictions, limited information, valuation uncertainty, long holding periods, leverage, borrower or issuer default, and dilution. Returns, if any, may take many years to realise.

10Digital asset risk

Digital assets are highly speculative and volatile, and you could lose the entire value of your investment. Risks include:

  • extreme price volatility, limited liquidity and market depth, and the possibility that a market ceases to exist;
  • regulatory and legal uncertainty, including changes in law that may restrict or prohibit holding, trading or transferring digital assets;
  • technology risk, including software defects, smart contract vulnerabilities, network failures, forks and cyber attacks;
  • custody risk, including loss or theft of private keys and the failure of custodians, exchanges or other intermediaries;
  • token supply risk, including vesting, unlocks, emissions and concentrated holdings that may affect price;
  • market integrity risk, including manipulation, limited transparency and differences in pricing between venues; and
  • tax treatment that may be uncertain or change.

Digital assets are generally not protected by deposit insurance or investor compensation schemes.

11Forward-looking statements

Any forward-looking statements on the Website are based on current expectations and assumptions and involve risks and uncertainties that may cause actual outcomes to differ materially. We undertake no obligation to update them.
